1. Agreement to terms

These Terms of Service ("Terms") govern access to and use of the Arthur Analytics platform, including our website, dashboards, and related services (collectively, the "Service"), provided by Arthur Analytics ("Arthur," "we," "us," or "our").

By creating an account, signing an order form, or otherwise using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the hospital or health system you represent ("Customer" or "you"). If you don't agree, don't use the Service.

2. The service

Arthur provides AI-assisted health data analytics designed for small and rural hospital systems, including dashboards, automated findings, and reporting drawn from data sources you connect (such as your EHR, billing, and staffing systems).

We may update, improve, or change features of the Service over time. We'll make reasonable efforts to tell you about changes that materially reduce core functionality you rely on.

3. Accounts & eligibility

You must provide accurate information when setting up an account and keep your login credentials secure. You're responsible for activity that happens under your account, so tell us right away if you suspect unauthorized access.

The Service is intended for use by hospital and health system staff and their authorized representatives, not for personal or individual consumer use.

4. Customer data & health information

"Customer Data" means the data you or your systems submit to Arthur, including any data that may constitute protected health information (PHI) under HIPAA. You retain all rights to your Customer Data.

  • Where Customer Data includes PHI, use of the Service is governed by a separate Business Associate Agreement (BAA), which forms part of these Terms once executed.
  • We use Customer Data only to provide, maintain, and improve the Service for you, and as otherwise permitted under your BAA and our Privacy Policy.
  • You're responsible for having the rights and authorizations needed to share Customer Data with Arthur.

5. Acceptable use

You agree not to: reverse engineer the Service; attempt to access data belonging to other customers; use the Service to violate any law or third party's rights; or interfere with the Service's normal operation, including through automated scraping or load testing without our consent.

6. Fees & payment

Fees are set out in your order form and are typically billed monthly based on your hospital's bed count and selected plan. Unless your order form says otherwise, fees are non-refundable and due within 30 days of invoice.

Late payments may result in suspension of access after we've made a reasonable attempt to reach you.

7. Intellectual property

Arthur owns the Service, including its software, models, designs, and documentation. These Terms don't transfer any of that ownership to you — we grant you a limited right to use the Service during your subscription. You own your Customer Data.

8. Disclaimers

The Service is provided "as is." Arthur's analytics and AI-generated findings are decision-support tools, not clinical or financial advice, and shouldn't be the sole basis for a clinical, staffing, or billing decision. We don't guarantee the Service will be uninterrupted or error-free.

9. Limitation of liability

To the extent permitted by law, Arthur's total liability arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose. Neither party is liable for indirect, incidental, or consequential damages.

10. Term & termination

These Terms remain in effect while you use the Service. Either party may terminate as set out in your order form, or immediately if the other party materially breaches these Terms and doesn't fix it within 30 days of notice. On termination, we'll provide a reasonable window to export your Customer Data.

11. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll notify account administrators by email or in-product notice before the changes take effect.
